Florida LLC Name Needs an LLC Designator as part of Name

A Florida limited liability company name must contain the words "limited liability company," the abbreviation "L.L.C.," or the designation "LLC" as the last words of the name of every limited liability company formed under the provisions of this chapter. The word "limited" may be abbreviated as "Ltd.," and the word "company" may be abbreviated as "Co." Omission of the words "limited liability company," the abbreviation "L.L.C.," or the designation "LLC" in the use of the name of the limited liability company shall render any person who knowingly participates in the omission, or knowingly acquiesces in the omission, liable for any indebtedness, damage, or liability caused by the omission.

Florida LLC Name Cannot Imply a Connection with Government

The name May not contain language stating or implying that the limited liability company is connected with a state or federal government agency or a corporation or other entity chartered under the laws of the United States.

Florida LLC Name Must be Distinguishable from Other Names Filed with the State

The name of the limited liability company must be distinguishable on the records of the Division of Corporations of the Department of State.  This means that a name cannot be the same as or too similar to another name filed with the State.

If a name is deemed similar, there is a method for obtaining a letter of consent from the original owner of the name that it is too similar too.  However, from a practical perspective, this can be a time consuming process and more often than not, the other owner will not be willing to provide consent in fear that your business will be associated with his/her business.  The better option is to come up with another suitable name.
